TERMS AND CONDITIONS

Rehearsal Studio Use Agreement

These Terms and Conditions (“Agreement”) govern the use of rehearsal studios and related facilities operated by Khasky Inc, a California limited liability company (“Company,” “we,” “us,” or “our”), located in Los Angeles, California.

By booking, accessing, or using our facilities—whether on an hourly or monthly basis—you (“Client,” “you,” or “User”) agree to be bound by this Agreement.

1. SERVICES OFFERED

We provide:

  • Hourly rehearsal room rentals
  • Monthly rehearsal room rentals (“Monthly Rentals” or “Lockouts”)
  • Shared amenities including restrooms, common areas, and limited shared equipment (if applicable)

All use is subject to availability, building rules, and compliance with this Agreement.

2. ELIGIBILITY & RESPONSIBILITY

  • You must be 18 years or older to book or use the facility.
  • The individual making the booking is financially and legally responsible for all participants, guests, and invitees.
  • Commercial, ticketed, instructional, or recording uses require prior written approval.

3. BOOKING & PAYMENT TERMS

Hourly Rentals

  • Payment is due in full at the time of booking.
  • Bookings are non-transferable.
  • Prices may change without notice but will not affect confirmed bookings.

Monthly Rentals

  • Monthly fees are due in advance, on or before the agreed billing date.
  • Monthly rentals do not convey tenancy rights and do not create a landlord–tenant relationship.
  • Missed or late payments may result in immediate suspension of access.

4. CANCELLATIONS & REFUNDS

Hourly Rentals

  • Cancellations must be made at least 24 hours in advance to receive a credit.
  • No-shows or late cancellations are non-refundable.

Monthly Rentals

  • Monthly fees are non-refundable once billed.
  • Termination by Client requires 30 days written notice, unless otherwise agreed in writing.

5. ACCESS & SECURITY

  • Access methods (keys, codes, cards, apps) are confidential and non-transferable.
  • Sharing access credentials is strictly prohibited and may result in termination.
  • We reserve the right to change access methods at any time for security reasons.

6. NOISE & USE RULES

  • Use is limited to rehearsal and practice only.
  • No live audiences or events without written permission.
  • You must comply with:
    • City of Los Angeles noise ordinances
    • Building rules
    • Posted quiet hours
  • Excessive noise complaints may result in immediate termination of use without refund.

7. EQUIPMENT & PROPERTY

  • Use of any Company-provided equipment is at your own risk.
  • You are responsible for any damage caused by you or your guests.
  • Personal property is stored entirely at your own risk.
  • We are not responsible for loss, theft, or damage to personal items.

8. PROHIBITED CONDUCT

The following are strictly prohibited:

  • Illegal activity of any kind
  • Smoking or vaping inside the facility
  • Alcohol or drug use on premises
  • Weapons of any kind
  • Altering rooms, wiring, soundproofing, or fixtures
  • Sleeping or living on premises

Violation may result in immediate termination without refund.

9. HEALTH, SAFETY & ASSUMPTION OF RISK

  • Use of rehearsal facilities involves inherent risks (including loud sound exposure).
  • You voluntarily assume all risks associated with use.
  • Hearing protection is strongly recommended.

10. RELEASE & WAIVER OF LIABILITY

To the fullest extent permitted by California law, you release and hold harmless Company, its members, managers, employees, and agents from any and all claims, injuries, damages, or losses arising from use of the facility, except to the extent caused by our gross negligence or willful misconduct.

11. INDEMNIFICATION

You agree to indemnify and defend Company against any claims, damages, or liabilities arising from:

  • Your use of the facility
  • Your violation of this Agreement
  • Actions of your guests or collaborators

12. INSURANCE

We do not provide insurance for your equipment, personnel, or activities.
You are encouraged to maintain appropriate insurance coverage.

13. TERMINATION

We reserve the right to terminate access immediately, without refund, for:

  • Breach of this Agreement
  • Nonpayment
  • Safety concerns
  • Repeated complaints or violations

14. FORCE MAJEURE

We are not liable for failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, utility outages, government orders, or building issues.

15. GOVERNING LAW & VENUE

This Agreement is governed by the laws of the State of California.
Venue for any dispute shall be Los Angeles County, California.

16. MODIFICATIONS

We may update these Terms at any time. Continued use constitutes acceptance of updated Terms.

17. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Company regarding use of the facility and supersedes all prior discussions or understandings.

Main Street Studios, operated by Khasky Inc., offers SMS communication for transactional and conversational purposes related to rehearsal studio inquiries and bookings.

How Consent Is Provided
Users provide consent by initiating an SMS message to 213-672-1511 after seeing the instruction on https://mainstreetstudiosla.com to text that number to check rehearsal room availability, scheduling, or booking information. The website further states: “By texting 213-672-1511, you agree to receive transactional SMS messages from Main Street Studios related to your inquiry. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help.” By sending the first message, the user affirmatively opts in to receive transactional SMS responses.

Program Description
Messages may include availability responses, booking confirmations, scheduling coordination, reservation reminders, access instructions, and customer support related to existing reservations. This program does not send marketing or promotional messages.

Message Frequency
Message frequency varies based on user interaction and booking activity and may include multiple responses per inquiry.

Message and Data Rates
Message and data rates may apply depending on your mobile carrier and plan.

Opt-Out Instructions
You may opt out at any time by replying STOP. After opting out, you will receive a confirmation message and will no longer receive SMS messages from us.

Privacy
